COMPANY BACKGROUND INFORMATION

B1 Brief Company History:

The Colorado School of Mines Research Institute (CSMRI ) was founded in 1949 under a not-for-profit charter. Responding to changes brought on by the 1984 Amendments to the Resource Conservation and Recovery Act (RCRA) by Congress and the subsequent implementation of regulations by the EPA, the analytical laboratory was incorporated as CSMRI-Analytica. In 1987, a group of investors purchased the laboratory and capitalized the business. Thus, the Analytica Group was founded and continues to prosper with 40 years of experience to serve the environmental and industrial hygiene markets.

The management team at Analytica is a production-oriented group consisting of a well-balanced mix of experienced business and technical professionals. Quality analyses and meeting turnaround deadlines are key objectives. Quality is assured through strict adherence to standard operating procedures and implementation of EPA quality assurance/quality control protocols. Analytica has on staff, full-time Quality Assurance/Quality Control personnel who are available for any questions.

In a January 1990 administrative reorganization, our parent company SP-Analytica, Inc. divided the laboratory into two independent subsidiaries; one specializing in asbestos analytical services, the other in hazardous waste analytical services. The asbestos division is known as Analytica Solutions, Inc. (ASI). The hazardous waste division is known as Analytica, Incorporated. In August 1992, another company was formed and incorporated as Analytica Alaska, Inc. (AAI) located in Anchorage, Alaska. It specializes in hydrocarbon analyses for the petroleum industry.

In December 1993, the Analytica, Inc. acquired Vista Laboratories and the Analytica Group corporate headquarters was moved to a location in Broomfield, Colorado.

In January 1995, 51% ownership in Analytica Alaska, Inc. (AAI) was sold to an Analytica employee and is now considered a "Small, Woman-Owned-Business".

Shortly thereafter, and to facilitate market expansion, Analytica, Inc. was renamed Analytica Environmental Laboratories, Inc. (AEL). AEL holds a 49% interest in Analytica Alaska, Inc. (AAI). In July 1995, AEL acquired Phoenix Analytical Laboratories. In January 1996, Analytica Solutions, Inc. (ASI) acquired the asbestos division of CBC Environmental Laboratories. In March 1998, Analytica Alaska, Inc. (AAI) acquired the laboratory operations of Carson Dorn, Inc. and began operating a laboratory in Juneau, Alaska, known as Analytica Alaska, Inc./Southeast Division.

Recently (May 2000), the Analytica Group constructed a new, 18,000 sq.ft. Corporate Headquarters facility in Thornton, Colorado. With the support of Analytica Investment Company, LLC (AIC), this new facility encompasses certain analytical operations as well as corporate-wide administrative services performed by SP-Analytica, Inc. (SPA).
